If you're bringing a whole party into 3e, the process is simple to figure out an appropriate level, but making the character is roughly the same as making a single. The party method retains less flavor, but is probably a truer mechanical change, the single method may result in significant changes in power level. A few things to consider: You may want to add a level to everyone in 3e for every four 2e levels they had (e.g. level 12 char ~= level 15 char) since the levels are slightly inflated in 3e. Don't forget to add 1 ability point every 4 levels. I'd advise against making a wizard character into a sorcerer, but some fighters could become barbarians; talk to your DM about it. If you want followers, you have to take the leadership feat. Your hit points are going to change. If you want to keep relative hit points the same, you might want to consider this method. 1) Drop all con bonuses and any plusses from levels that gave you a # of hp instead of a die. 2) Figure the average of the dice you rolled. 3) Max the first die. 4) Figure any newly rolled dice would be the average (or roll them if you like). 5) Add in your new con mod. an example (using the increased level suggestion) 2e: Level 12 fighter, 16 con, 81 hp 81 hp-9 points (3 levels @ +3 hp)-18 points (9 lev @ +2 hp)=54 hp 54 hp/9 levels=6 hp/level now we convert max first die (10 hp) +14*6hp=84 +15*3hp (new con mod)=45 hp for your level 15 fighter=139 (it would be 112 if you didn't do the increased level) It seems like a big jump, but damage gets handed out like candy in 3e. Party Method The classes in 3e are much closer in strength than in 2e. A level 8 rogue versus a level 8 fighter isn't an automatic death sentence for the rogue. To reflect this, you might want to just figure the average level of the party you're converting to 3e and just have everyone use that as their character level unless there are definite differences in power level. Single Character Method Basically you're going to have to remake the character at level X and choose feats and skills that are appropriate to their former proficiencies, fighting styles, etc. This isn't to tough if your character was single classed. If you had a multi- or dual- classed character, things get really crazy because the system for handling this is one of the biggest changes. To choose a level for a character like that, you'll probably have to work something out with your DM. I recommend that you take the total amount of xp they have and see what level they would be if single classed (using the average value of both classes). For example, a 5/7 Fighter/Bard with 40,000 experience in each class has 80k xp total.
